Scope of Services

Fund Formation

• Advising on fund structure and fund domicile in coordination with tax advisers and auditors
• Drafting, reviewing and negotiating fund documents (including offering documents, constitutive document, investment management, investment advisory, custodian, administration and other service provider agreements, subscription agreement and other investor documents)
• Setting up onshore and offshore funds and management entities in coordination with local regulators and overseas counsel
• Providing regulatory and marketing advice relating to funds

Fund Maintenance

• Updating offering documents
• Drafting, reviewing and negotiating managed account agreements, seed investor/shareholder agreements, side letters, and other fund-related agreements
• Fund restructurings and implementing changes to existing funds and establishing new classes/sub-funds under existing fund structures
