Fiona Fong specialises in the formation of private funds in both onshore (particularly open-ended fund companies (OFC) and limited partnership funds (LPF)) and offshore fund structures, ranging from hedge funds to QFI funds, as well as private equity funds, credit financing funds and various hybrid funds, investing in a wide spectrum of industries, including technology, media and telecommunications (TMT), energy and resources (including precious metals, coal mining etc.), medical and pharmaceutical, collectibles, hotels and motion pictures.

Fiona has extensive experience in providing strategic advice on fund structures, negotiating and drafting fund documentations, drafting discretionary account agreements, advising on private placement of funds in Hong Kong, joint venture/co-managers arrangements, as well as advising on SFC licensing and Hong Kong regulatory issues relating to fund managers.

Highlights

• Awarded “Deals of the Year 2022” (Cross-border) by China Business Law Journal for assisting Omnix Capital on the first re-domiciliation of a Cayman Islands fund to Hong Kong as an open-ended fund company (OFC).
• Advised the Hong Kong arm of a global investment bank on the launch of its first private open-ended fund company (OFC) in Hong Kong. The fund was the first umbrella private OFC registered with the SFC in Hong Kong.
• Acted for a renowned US fund manager to establish a Hong Kong limited partnership fund that acts as a feeder fund into an exempted limited partnership established in the Cayman Islands. We also assisted in the review of the limited partnership agreement and the subscription agreement and provided a closing opinion.
• Assisted multiple Hong Kong-based fund managers to set up closed-ended umbrella private OFCs. Each of the closed-ended umbrella private OFCs includes multiple sub-funds covering a wide range of direct investments.
• Assisted an award–winning Hong Kong-based asset manager in the formation of its first emerging market fund investing in the processed food industry in countries within the ‘One Belt, One Road’ area.
• Assisted the Hong Kong asset management arm of a PRC-based fund manager to establish two innovative hybrid funds investing in the pharmaceutical and health sector, specifically in bio-technology companies and medical device producers in Mainland China.
• Assisted a leading asset management company in establishing a private equity fund that substantially invested in a PRC-based logistics company with target fund size of US$100 million.
