Canny’s practice involves both corporate finance and securities work ranging from initial public offerings, secondary issues, mergers and acquisitions, corporate restructurings, to local and cross-border joint ventures and other transactions.

Acting for sponsors and issuers in relation to public offerings and listings of various companies (on Main Board and GEM) which engage in a variety of businesses, such as computer and IT related businesses, fashionable goods business, F&B, construction and property management business, including:

• Times Neighborhood Holdings Limited, one of the leading and fast-growing comprehensive property management service providers in China
• Sprocomm Intelligence Limited, an ODM mobile phone supplier based in the PRC targeting emerging markets
• Ever Sunshine Lifestyle Services Group Limited), a reputable and fast-growing property management services provider in China
• LH GROUP Limited, a top full service multi-brand restaurant group in Hong Kong specialising in Chinese and Asian (in particular Japanese) cuisine
• KML Technology Group Limited, an E&M engineering solutions and services provider with primary focus on transportation mission critical system solutions in Hong Kong over 40 years
• WINDMILL Group, a registered fire service installation contractor in Hong Kong (and its subsequent transfer from GEM to Main Board)
• Vital Mobile Holdings Limited, an ODM smartphone supplier in the PRC
• KTL International Holdings Group Limited, an integrated fine jewellery provider and an original design manufacturer in Hong Kong
• Goldenmars Technology Holdings Limited, a DRAM supplier in the PRC (and its subsequent transfer from GEM to Main Board)
• Baofeng Modern International Holdings Company Limited, the largest slipper manufacturer and supplier in the PRC

M&A

Advising on the following major transactions or projects:

• acting for Qianhai Health Holdings Limited as the offeree in the mandatory general offering for its shares
• acting for Rongsheng Asset Management Co., Limited as the offeror in its whitewash application from making a general offer for shares in Addchance Holdings Limited
• acting for Right Select International Limited as the offeror relating to the mandatory general offer of shares in Huarong Investment Stock Corporation Limited
• acting for Silver Starlight Limited as the offeror relating to the privatisation of Goldin Properties Holdings Limited
• acting for Super Generation Group Ltd. as the offeror in its whitewash application from making a general offer for shares in Hang Fat Ginseng Holdings Limited
• Viva China Holdings Limited on its disposal of shares representing 6.8% of the total issued share capital of Li Ning Company Limited by way of placing, constituting a major transaction for Viva China Holdings Limited
• acting for TTM Technologies, Inc. (listed on NASDAQ) in its acquisition of the PCB business involving privatisation of with Meadville Holdings Limited
• acting for Mitsubishi Corporation in relation to its cornerstone investment in the initial public offering of COFCO Meat Holdings Limited
• acting for TTM Technologies, Inc.(listed on NASDAQ)in its acquisition of the PCB business of and merger with Meadville Holdings Limited
• acting for Win Hanverky group on termination of joint venture and disposal of Diadora related trademarks
• acting for Shimao Property Holdings Limited in acquisition of PRC property project with offshore structure
• acting for Hutchison Harbour Ring on the disposal of its entire interest in City Island Developments which holds certain property projects in Shanghai, the PRC
• acting for Win Hanverky on its formation of a joint venture with Diadora and the acquisition by the joint venture of certain trademarks and assets from Diadora to carry out business of Diadora branded products in the Greater China Region
• acting for VINCI Group on the sale by tender of its Hong Kong car parking business to Sun Hung Kai Properties and Wilson Parking Group

In addition, Canny also advises Hong Kong listed companies on their ongoing compliance and regulatory matters including advises on discloseable transactions, connected transactions, share repurchases, share option schemes and setting up of restricted share award schemes, as well as having acted for a number of other Hong Kong listed companies and private companies on their formation of joint ventures and acquisitions of shares or equity in companies incorporated in Hong Kong, PRC and other jurisdictions.
