Eugina has over 34 years’ experience in the corporate finance field and her practice involves both corporate finance and securities work as well as private and public mergers and acquisitions and private equity transactions.

Eugina is particularly well-known for advising on M&A transactions, takeovers and privatisations.  She advised corporate clients like Wheelock, Li & Fung, Cheung Kong/HutchisonChina Resources, China State Construction, China Oceanwide in their M&A transactions.

Eugina’s involvement in takeover of Hong Kong listed companies includes:

  • acting for Rivera (Holdings) Limited in the voluntary conditional general cash offer by its existing shareholder
  • acting for the Independent Board Committee of AAG Energy Holdings Limited in the partial offer by Liming Holding Limited
  • acting for the Independent Board Committee of Chong Hing Bank in the partial offer by Yue Xiu Enterprises (Holdings) Limited
  • acting for Fraser and Neave, Limited in its disposal of a controlling interest in Frasers Property (China)
  • acting for the controlling shareholders of Hong Kong Parkview in their disposal of a controlling interest in the company
  • acting for Wing Lung Bank in its takeover by China Merchants Bank (awarded ALB Deal of the Year 2009)
  • acting for China Life Insurance in its proposed acquisition of interest in Wing Hang Bank
  • acting for Sunday Communications in its takeover by PCCW
  • acting for Hutchison Whampoa in its takeover of ICG Asia (now known as Hutchison Harbour Ring)
  • acting for Mercurius Partners in its takeover of The Hong Kong Building and Loan Agency

Eugina’s involvement in Hong Kong listed company privatisation transactions includes:

  • acting for Glorious Property Holdings Limited in its proposed privatisation by way of a scheme of arrangement
  • acting for the controlling shareholders of Frasers Property (China) in the proposed privatisation of the company by way of a scheme of arrangement
  • acting for Li & Fung (Retailing) in its takeover and privatisation by way of compulsory acquisition of Hang Ten Group
  • advising Integrated Distribution Services Group Limited on its privatisation by Li & Fung
  • advising Hutchison Global Communications on its privatisation by Hutchison International Telecommunications
  • advising on the privatisation of Top Glory International Holdings

Eugina’s equity capital market transactions include acting for listed issuers or sponsors/underwriters in the listing on The Stock Exchange of Hong Kong Limited of the following companies:

  • the Main Board listing and global offering of Chinney Kin Wing Holdings, Top Spring International, Chiho-Tiande Group, HSBC China Dragon FundXingda International Holdings and Vedan International (Holdings)
