Working for borrowers requires particular skills. Documents often have to be extensively tailored to meet the precise requirements of a borrower. It is crucial to understand where compromises can be made by both parties and where they cannot, and to approach negotiations with a mixture of tact and firmness. 

Unlike many of its competitors, Deacons’ banking team works for both banks and borrowers, so we understand the concerns of both sides. With our pragmatic, deal-orientated approach we aim always to be commercial on behalf of our clients to help deals progress quickly and efficiently. However, we will negotiate tenaciously where something is not in a client’s interest. 

Our lawyers have represented borrowers in a wide range of financing transactions, from consumer loans, through plain vanilla deals and HK$ multi-billion syndicated loans, to specialised trade, project, asset and acquisition finance deals in a wide range of industry sectors. For example, we have recently: 

  • Advised a PRC mining group with interests in Mongolia on raising nearly US$1.68 billion from PRC banks in three separate loan transactions;
  • Represented a US-listed company on a large ‘take-private’ financing;
  • Assisted the borrower in connection with project financings in Timor Leste;
  • Advised a telecoms company in the financing of its new phone network in an emerging South East Asian economy;
  • Assisted a mining group in its financing of its development of a new coal mine in the Philippines.
